TERMS AND CONDITIONS OF CHAIR FURNITURE

Governed by UK and EU Law.

1. Conditions

"Seller", "we" and "our" refers to the chair.furniture website, published by INTERSCAPE LTD. (Company Registration Number: 8708162). Headquarters: Internetscape Ltd, Unit 2B Barton Hill Trading Estate, Herapath Street, BRISTOL, BS5 9RD, United Kingdom.

"Buyer", "you" and "your" refers to any natural or legally defined person, individual, partnership, firm or association using chair.furniture and therefore accepting the terms and conditions of sale.

The general sales conditions apply to all sales made by chair.furniture on both its own account and on behalf of clients. Any other conditions are only binding after written confirmation from the Seller.

The information contained on the chair.furniture website is only given as an indication and can therefore be amended without notice. 

Merely placing an order or accepting an offer from the Seller constitutes an unconditional acceptance of these terms and conditions. The Buyer must be aware that no handwritten or electronic signature is needed to signify their agreement with these terms and conditions before purchasing products from chair.furniture.

chair.furniture may change these terms and conditions at any time without notice. These changes will then be applied to all subsequent orders. It is essential the Buyer reread the terms and conditions before every purchase to be aware of changes.

The Buyer is deemed to have accepted all the provisions of these conditions of sale without reservation.

2. Orders

All offers are valid while stocks last. If there is an estimated restock date, the offer will remain valid for seven days unless otherwise stipulated. French is the only language offered for concluding the order. Great care is taken to provide information on the goods available. This is done through technical descriptions and illustrative photographs provided by our partners and suppliers. There may be errors in information and images and they should not be regarded as legally binding.

2-1. Product description

The essential characteristics of the products are listed in its description, usually with a product photograph as well as the characteristics. chair.furniture will not be responsible for errors or variations between the photographs and the product. Only the product description will be held as binding. The technical composition of the products may be changed without notice by the suppliers. chair.furniture is entitled to update, improve or remove from sale any products and/or peripheral products and/or their information at any time.

2-2. Product availability

If an ordered product is unavailable, chair.furniture can provide another product of similar quality and price. Our offers are subject to availability from suppliers. We will endeavour to notify you of an unavailable product within eight days of placing your order or within the time period you specify for receiving your product. If only some products are available, chair.furniture may need to split your order. All products will be sent when they become available. Should the product remain unavailable, mainly because of problems with our supplier, the Buyer will be informed immediately and will be able to cancel the order. The Buyer will have the option of demanding a refund within thirty days of their payment or of waiting for the delivery of their products.

2-3. Order process

A new chair.furniture Buyer will be required to create a client account with their first order. This will require a unique identifier or "login" and a password of at least six alphanumeric characters. During each checkout, you will be directed to access your account via a secure connection. Your order will only be formalised after the final information and validation is given. The sale is deemed concluded when you save the order by selecting a payment method. The Buyer's validation constitutes an electronic signature; the equivalent to a handwritten signature between the parties. chair.furniture reserves the right to cancel or refuse any order from a Buyer with whom there is a dispute over payment of a previous order.

2-4. Order cancellation

A chair.furniture order is automatically cancelled if payment is not received within eight days. From the moment your confirm your order, the Buyer is deemed to have knowingly and without restriction or qualification accepted these terms and conditions and the prices, volumes and quantities of the products offered for sale or ordered. chair.furniture will send an e-mail to confirm the Buyer's purchase. After the e-mail confirmation is sent and the full payment received, the sale will be considered final. chair.furniture recommends that the Buyer retain either a paper or electronic record of the sale.

You may use the model cancellation form in the 'Right to cancel' page, but it is not obligatory.

3. Prices

The prices on the website are given in Pounds Sterling (£). Delivery and technical costs will be added before you confirm your order. Prices after order confirmation are final. If prices fall after you order, the Seller will not compensate you for the difference. If prices rise after you order, the Seller is committed to delivering you the original price. VAT is included in all prices.  Full payment must be made when ordering. At no point can payments be considered a deposit or deposits. The receipt of the full payment will be made at the time of order confirmation, or on receipt of a cheque or bank transfer.

4. Delivery

The products are delivered to the address specified by the Buyer when making the order. Information provided by the Buyer must be complete and verifiable. Delivery times are given in working days. No compensation or penalty will be given for any delay in delivery in any circumstance. We encourage you to inform us of any delivery delay longer than seven days to allow us to investigate with the courier. Depending on the courier, enquiries may vary from one to three weeks. Unless there is an agreed time or period, the contract is to be treated as including a term that the trader must deliver the goods in any event, not more than 30 days after the day on which the contract is entered into. If the parcel is found during the investigation, it will immediately be forwarded to your delivery location. During the investigation, no refund, return or substitution can be made. You expressly agree that no major outside force preventing delivery is due to chair.furniture. Lockouts, strikes, full or partial work stoppages at chair.furniture, its suppliers or service providers, epidemics, war, requisition, fire, flood, interruption or delay in transport and legal or administrative measures preventing, restricting, delaying or prohibiting the manufacture or import of the goods etc. are regarded as major forces and exceptional events by law and the Seller is released from all liability on delivery. The Buyer will inform the Seller of the events listed above in a timely manner. In all cases, timely delivery is dependent on the Buyer upholding their obligations to the Seller.

Delivery will be made at the entrance to your home or the main entrance to the building. Individual comments and instructions by the Buyer regarding delivery (such as floor) are at the discretion of the third-party courier and chair.furniture cannot guarantee that they will be upheld. In the event that the delivery could not be carried out in normal conditions (such as no security code being given), the courier can deliver to a specified nearby location.

The products available on our website can be delivered in all Europe.

5. Transport

Unless expressly agreed otherwise, chair.furniture will be given a free choice of the courier to deliver the goods. chair.furniture accepts transportation risks to the product until it is physically delivered to the cosignee or their representative, providing that the Buyer checks the goods upon receipt, in the presence of the courier and if necessary writes upon the consignment according to the procedure below. The Buyer will bear any transportation risks including loss, damage or theft. If the parcel or goods are missing or damaged or if the package has been opened, you must refuse delivery. You must make an accurate record of the problem on the delivery note or package in the presence of the courier or their employee. You then have three days to contact the courier by registered post with the return receipt. To help you in these efforts, please contact us via the contact page on our website or by e-mail at sales@chair.furniture.fr. If the Buyer unconditionally accepts the parcel at the time of delivery or does not deliver the return receipt to the courier within three days, the merchandise is deemed to have arrived safely and entirely. chair.furniture will not support any claim or accept responsibility after this point. 6. Claims, Guarantees & Returns

For any complaints, please contact us by visiting the contact page on our website or e-mailing sales@chair.furniture.fr. All claims relating to defective goods delivered in incorrect quantities or inaccurate to the accepted offer or order confirmation should be made to the Seller with return receipt by registered post within forty-eight hours of receiving the merchandise, without neglecting Article 5 of these terms and conditions with regards to actions against the courier, otherwise the Buyer's right to claim will cease to exist. All returns require prior agreement by chair.furniture, which can be obtained via the contact page of the website or by e-mailing sales@chair.furniture.fr. If there is no agreement to return the goods, any return will be made at your own expense and risk, with you meeting the costs of transport, storage and handling. The Buyer has five days from receiving the Agreement of Return to return the defective goods to chair.furniture. All goods must mandatory be returned with a copy of the invoice. Defective products must be returned in their original packaging, including all parts of the product and its accessories along with its unfilled warranty card and any documents or notices etc. Incomplete products, damaged products and/or products where the original packaging has been damaged will not be returned, exchanged or refunded.

To avoid unfair terms for the protection and information of consumer products and services, the provisions hereof may not deprive the Buyer of the legal guarantee that obliges the Seller to guarantee against latent defects in the product sold. The Buyer is expressly informed that chair.furniture is not the manufacturer of the products presented on this website. Therefore, chair.furniture is not liable for defective products and in the case of damage to person or property by a defective product, the Buyer may only seek the liability of the manufacturer. As a re-seller, we are committed to complying with the latter provisions and with the manufacturer's guarantee.

The Buyer is not released from their obligation to pay the invoice within the agreed time limit because they have made a claim. Refunds will only be given if the matter and receipt of goods has been duly acknowledged and accepted by chair.furniture. Expenses incurred from the return of goods for any reason whatsoever are the sole responsibility of the Buyer. No return postage will be accepted. Products manufactured according to the Buyer's specifications or custom marking, drawing or embroidery of any good falling within Article L121-20-2 amended by Ordinance No. 2005-648, 6th June 2005 - Article 1 of the Official Journal, 7th June 2005 of the Consumer Code, in force from 1st December 2005, cannot be returned, exchanged or refunded. chair.furniture will not be eligible for any penalty or claim of composition whatsoever.

7. Brand design and customisation

In some cases, the markings or embroidery of products can be made in different colours. For technical reasons, the quantities delivered and invoiced may vary by up to 10% more or less than ordered. When ordering, please indicate the references for the PANTONE colours. This may vary depending on the medium and the labelling technique used. The drawings will be charged based on the date of order or different designs. Therefore each order or reorder will be billed. The amount is fixed regardless of the number of items with the same marking ordered. We have no liability for the acceptance of the corrected proof when the drawings are examined before the final printing. Our delivery times are only confirmed when the Buyer accepts the final designs. We refuse any responsibility for the designs that we reproduce on behalf of the Buyer. It is the Buyer's responsibility to research the designs and ensure they are satisfactory and do not copy designs already in existence. Any violation of copyright because of the Buyer's lack of research must be resolved by the Buyer.

8. Withdrawal (reserved for individuals)

Under the laws of online selling, the Buyer has a 14 day consideration period. This period runs from the receipt of the product or the acceptance of the offer of services. If the fourteen-day period expires on a weekend or holiday, it is extended to the next business day.  A permit is at your disposal to return goods and can be acquired, free of charge, from the contact page of our website. The return of goods is conducted at the expense of the Buyer. It should be noted that the right of withdrawal shall not be exercised on all products. 

The right to cancel does not apply to the following kind of contracts:

• Contracts for the supply of goods that are made to the consumer’s specifications or are clearly personalised.

• Contracts for the supply of goods which are liable to deteriorate or expire rapidly.

• Contracts for the supply of sealed goods which are not suitable for return due to health protection or hygiene reasons and were unsealed after delivery.

• Contracts for the supply of goods which are, after delivery, according to their nature, inseparably mixed with other items.

• Contracts for the supply of sealed audio or sealed video recordings or sealed computer software which were unsealed after delivery.

• Contracts for the supply of a newspaper, periodical or magazine with the exception of subscription contracts for the supply of such publications

Assuming the exercise of the right of withdrawal, the Buyer has the option of either requesting a refund of monies paid or the exchange of products. In the case of an exchange, the return will be at the Buyer's expense. When the Buyer exercises the right of withdrawal, chair.furniture will make every effort to reimburse you within fourteen days by cheque or PayPal. If the right of withdrawal is exercised, chair.furniture is not eligible for any penalty or compensation whatsoever. The right of withdrawal is only available to individuals and according to law cannot be applied to a professional or a holder of a SIREN number.

9. Property reservation

The goods to be delivered and invoiced to the Buyer shall remain the property of chair.furniture until full payment has been received. Failure to pay may result in the Seller making a claim against the Buyer. Restitution will be immediate and goods will be delivered to the Buyer at their own expense and risk. During the period of delivery and transfer of ownership, the risk of loss, theft or destruction and damage will be borne by the Buyer.  In the case of insolvency proceedings, the Buyer agrees to actively establish an inventory of goods to which the Seller claims ownership. Otherwise, the Seller will have the option of employing a bailiff at the expense of the Buyer to inspect the inventory. The Seller may prohibit the reselling, processing or incorporation of the goods by the Buyer in the event of late payment. If the goods are sold in the meantime, it is the responsibility of the Buyer to give chair.furniture compensation. To ensure payments not yet made in the Seller's records in the account balance of the Buyer, it is expressly stipulated that the right to goods delivered but not paid is transferred to identical stock of the Seller without the need to allocate payments on a sale or specific delivery.

10. Clause

In the case of the Buyer's non-compliance with any of the above obligations, the sale will be automatically cancelled and the goods returned to the Seller as they see fit, without prejudice to any damages the Seller could claim against the Buyer, for forty-eight hours after the notice. In this case, the Seller is entitled to charge the Buyer damages worth 10% of the sale amount.

11. Payment

Any amount paid to chair.furniture cannot be considered a down payment or deposit.

The contract can be concluded in either French, English, German, italian or spanish, regarding the language the buyer chose.

11-1. Payment

Payments must be made to allow the Seller to dispose of the money on the day of invoice. Unless special provision is made on the chair.furniture website to companies after reviewing their cases, payment must be made by credit card (with at least one month's validity for a cash payment and six month's for payment in installments), attachment of bank information by secure server (to ensure security and confidentiality during the transaction) or by cheque. The cheque must be issued by a bank domiciled in France and sent to the French postal address of chair.furniture. You must either include a copy of your e-mail confirmation with your cheque or write on the cheque your order number and customer number. It should be issued in the name of the person who placed the order. The cheque will be cashed on receipt. Your order will be processed from the day of receipt. Any costs will be borne by the Buyer. chair.furniture reserves the right to request a cashier's cheque if the sums involved are significant. If the Seller accepts payment by bill, the Buyer must return it within eight days. The costs will be borne by the Buyer and if it is not returned within the specified time period, payment will become due immediately.

11-2. Late payment

Any settlement after the set payment date could result in billing penalties. The penalty will be equivalent to the legal rate of interest applied by the European Central Bank (ECB) in its most recent refinancing operation plus ten points. For 2010, the legal rate of interest was fixed at 0.65% (*) and the calculation is as follows: 0.65%+10=10.65%. Penalties will be due without any reminder. They will be applied from the day following the settlement date on the invoice or, failing that, the thirty-first day following the date of the receipt of goods or the performance of the service. The rate of legal interest will also be used with an increase of five points (or 5.65% in 2010) as the interest payable by a person convicted in court after two months of non-payment. The Buyer can never withhold all or part of the amounts he owes by way of complaint. If the Buyer is late for a payment or part payment deadline, the Seller may for that reason alone and without any need for prior notice, suspend all deliveries to the Buyer and the Buyer will not be able to claim damages. If the Seller seeks recourse through litigation, they are entitled to claim from the Buyer any reimbursement related to the lawsuit, (*) Decree No. 2010-127, 10th February 2010, fixing the legal rate of interest of 2010.

11-3. Supporting evidence

chair.furniture reserves the right to asks you to justify your identity, place of residence and method of payment to help prevent fraud. If we ask for this information, your order will be processed after we receive supporting evidence and documents. We reserve the right to cancel your order if we do not receive this evidence or your evidence is not deemed satisfactory.

12. Electrical & Electronic Equipment waste (EEE)

It is the responsibility of the waste holder to ensure the disposal of certain electrical and electronic equipment waste. For other electronic equipment the responsibility is transferred to the Buyer as part of the contract of sale. The Buyer shall ensure the collection, treatment and valuation of equipment in accordance with the law. These requirements must be submitted by successive Buyers until the end user of the EEA. Failure of the Buyer to uphold the bonds placed upon him may lead to the imposition of criminal sanctions under law.

13. Intellectual property

All elements of the website chair.furniture, visual or audio, whether text, layout, illustration, photograph, document or another item, including the underlying technology, is protected by copyright, trademark and patents. They are the exclusive property of chair.furniture. Any copy, adaption, translation, representation or modification of all or part of this website is strictly prohibited without the prior written consent of chair.furniture. Any reproduction, even partial, of sections of the chair.furniture website without our written consent is prohibited and could be considered a criminal offence.

14. Data processing

The personal information we request from the Buyer is required to process your order and will be communicated to the suppliers and contractual partners of chair.furniture involved in the ordering process. You may wish to receive commercial offers from our partner companies. If you do not wish to receive these offers, simply contact us via the contact page on our website or e-mail sales@chair.furniture.fr to express your opposition to this disclosure or to exercise your rights with respect to your personal information held by chair.furniture. Pursuant to data protection laws, in relation to computers, files and freedoms, you have the right to oppose, access and amend the data. You may ask for information about you to be corrected, completed, clarified, updated or deleted if you find it inaccurate, incomplete, ambiguous or outdated, or if its collection, use, disclosure or storage is prohibited. If you wish to exercise this right, please write to use using the contact page on the website or by e-mailing sales@chair.furniture.fr.

15. Data processing problems

The Buyer is expected to understand the characteristics of the computer network and internet, including the possibility of interruption binding, server failures, electrical or other problems (this should not be considered an exhaustive list). chair.furniture cannot be held responsible for the consequences of such computer-related problems and will be released from any liability to the buyer. The Buyer will not be eligible to make any claim for compensation or seek any penalty against chair.furniture whatsoever for the above problems.

16. Partial validation

If one or more provisions of these terms and conditions is held to be invalid or is declared as such by any law, decree, regulation or final decision of a competent court, all other provisions will remain in full force and effect.

17.Law

These general conditions of sale are subject to UK law. The application of the Vienna Convention on the International Sale of Goods is expressly excluded. Records and computer files of chair.furniture will be considered by all parties as proof of communication, orders, payments and transactions between the parties, unless proven otherwise. Any aspect of the execution and cessation of the contract between the parties that cannot be settled amicably will be subject to the UK courts. If chair.furniture does not take advantage of one of the conditions of sale in the present does not mean they cannot do so later.

18. Jurisdiction

In all legal disputes, regardless of nature or cause, the courts of Bristol, United Kingdom, will have jurisdiction in cases of emergency proceedings, appeals and multiple defendants. Acceptances, drafts, moneys orders and conditions do not bring exemptions from this clause.
